This End User License Agreement (“EULA”) is between you and Vincdata Technologies Inc., operating as VincData (“we”, “us”), and governs your use of the Vincoder desktop application and its IDE integrations (the “Software”). By installing or using the Software you agree to this EULA, our Terms of Service, and our Privacy Policy.
1. License Grant
While you hold an active Vincoder subscription or trial, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, for personal or commercial software development.
- One subscription covers one person; each user on a team needs their own subscription
- You may install the Software on more than one of your own machines
- The Software is licensed, not sold — we retain all rights not expressly granted
2. What You May Not Do
- Share, rent, sell, sublicense, or otherwise transfer your license or account
- Reverse engineer, decompile, or disassemble the Software, except to the extent applicable law expressly permits despite this restriction
- Circumvent license or subscription checks
- Remove or alter proprietary notices
- Use the Software to operate a competing service offered to third parties
3. Local Processing & Third-Party Models
Vincoder runs AI models locally on your machine. Your source code and prompts are processed on your device and are not sent to our servers. The Software periodically contacts our servers only to verify your subscription status and to check for updates.
The Software ships with, or lets you download, open-source AI models (for example Qwen and Llama model families). Those models remain subject to their own licenses, which are included with the Software. This EULA does not restrict rights those licenses grant you.
4. Your Code & AI Output
- Your source code remains yours. We claim no rights to it.
- As between you and us, output the Software generates on your machine (code, tests, explanations) belongs to you, and you may use it commercially.
- AI output can be wrong, insecure, or resemble existing code. You are responsible for reviewing, testing, and verifying all AI-generated output before relying on it — including its correctness, security, and compliance with third-party licenses.
5. Subscription, Updates & Availability
- Use of the Software requires an active subscription or trial (see our Refund Policy for billing terms)
- We may release updates, fix bugs, and add, change, or retire features; some updates may be required for the Software to keep working
- We may discontinue the Software with reasonable advance notice; if we do, we will not charge you for periods after discontinuation
6. No Warranty; Liability
The Software is provided “as is” without warranties of any kind, and the warranty disclaimers and limitation of liability in our Terms of Service apply to the Software and its output. Nothing in this EULA limits non-waivable rights under applicable consumer protection law.
7. Termination
This license ends when your subscription ends or if you materially breach this EULA. On termination, stop using the Software and uninstall it. Sections 4, 6, and 8 survive termination.
8. Governing Law
This EULA is governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of laws principles, subject to any mandatory consumer protections of your place of residence.
